The UPMC Enterprises team at UPMC has an exciting opportunity available as an Assistant Counsel. This is a regular, full-time position. UPMC Enterprises is the innovation, commercialization, and venture capital division of UPMC. It invests financial and intellectual capital into developing solutions that benefit the health care system by supporting early and growth stage companies. The Assistant Counsel provides effective legal counsel to assist in meeting the legal needs of UPMC, a large, diverse, health care delivery and finance system, and specifically to support the investment and development work at UPMC Enterprises. The ideal candidate is an experienced attorney, preferably with significant experience in health law and/or corporate law. Responsibilities: + Independently, but subject to general supervision and oversight of Senior Associate Counsel and VP and other senior UPMC attorneys, provide legal counsel and legal services as identified below to UPMC's corporate departments and primarily to the Enterprises division of UPMC, which shall include interaction as necessary with senior leadership. + Under general supervision and guidance of more senior UPMC attorneys, responsible for one or more of the following: + Providing legal counsel and legal services to UPMC corporate and business units in moderately complex business arrangements + Assisting senior UPMC attorneys in either highly complex business transactions or litigation + Providing counsel to managers and staff throughout UPMC, and UPMC Enterprises in particular, to address and resolve legal issues as they arise on a daily basis + Representing UPMC business units in legal proceeding of moderate complexity or significance + Monitoring outside counsel with respect to moderately complex business arrangements or litigation. + Provide guidance with respect to contractual arrangements and prepare contractual and other legal documentation. + Review and recommend changes to corporate policy to ensure compliance with legal requirements. + Apply general legal knowledge in the following areas, among others: corporate law, intellectual property (including AI), and/or federal and state health care laws and regulations (e.g., HIPAA). Other areas may include taxation, real estate, labor and employment, antitrust, insurance, commercial and finance; Medicare, Medicaid, licensure, accreditation, malpractice liability, medical staff, patient care law, behavioral health, guardianships, etc. + Corporate work to include, under general supervision and guidance of more senior UPMC attorneys: + Preparing and negotiating contractual and commercial arrangements + Advising regarding start-up and early stage company formation, financing, operations, and governance + Structuring and negotiating research and licensing arrangements + Representing UPMC in moderately complex and complex business transactions such as equity financings, joint ventures, and M&A deals + Providing transactional support, due diligence, and other support to the Enterprises division + Apply legal knowledge, analysis and judgment to identify alternative approaches and their relative merits and recommend solutions to legal problems, including daily issues as well as more complex issues. + Perform special project assignments for the Executive Vice President UPMC & Chief Legal Officer + J.D. Degree required. + Minimum four years' experience as a practicing attorney, including significant experience in health law or another relevant specialty, such as employment law or litigation. + Pennsylvania license or obtain such license within six (6) months of date-of-hire required. + Must demonstrate Ability to independently handle unique, sensitive and moderately complex legal matters, with minimal supervision and oversight. + Ability to apply legal knowledge, analysis and judgment to address moderately complex legal problems arising in the organization.Licensure, Certifications, and Clearances: + Pennsylvania Attorneys License + Act 34 UPMC is an Equal Opportunity Employer/Disability/Veteran
